Terms and Conditions

1.1 "Platform" means The Rpoint website (www.rpoint.in), mobile applications (iOS and Android), and any other digital interfaces or services provided by Rpoint.

1.2 "User" means Any individual or entity that accesses or uses the Platform, including registered and unregistered users.

1.3 "Professional User" means a user who registers on the Platform as a real estate professional, including but not limited to lawyers, architects, developers, investors, brokers, contractors, consultants, and service providers.

1.4 "Content" means all text, graphics, images, music, software, audio, video, information, data, listings, profiles, or other materials posted, uploaded, or displayed on the Platform.

1.5 "User Content" means any Content that Users upload, submit, post, or transmit through the Platform.

1.6 "Listing" means any property, land, or service offering posted on the Platform by a User.

1.7 "Services" includes but is not limited to professional networking, property listings, marketplace services, CRM tools, digital calculators and converters, maps and revenue records access, news and insights, and any other features provided through the Platform.

2.1 Binding Agreement: By creating an account, accessing, or using the Platform, you enter into a legally binding contract with Rpoint and agree to comply with these Terms and all applicable laws and regulations.

2.2 Age Requirement: You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.

2.3 Professional Representation: If you are using the Platform on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and you agree to these Terms on behalf of that entity.

2.4 Modifications to Terms: We reserve the right to modify, amend, or update these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and/or sending you an email notification. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

3.1 Account Creation: To access certain features of the Platform, you must create an account by providing accurate, complete, and current information. You may register directly or through third-party authentication services (e.g., Google, Facebook, LinkedIn).

3.2 Account Information: You agree to:

• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Immediately notify us of any unauthorized use of your account
• Be responsible for all activities that occur under your account

3.4 Account Termination by User: You may terminate your account at any time by contacting us at info@rpoint.in or through the account settings. Upon termination, you will lose access to your account and all associated data.

3.5 Account Suspension or Termination by Rpoint: We reserve the right to suspend, disable, or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Providing false or misleading information
• Inactivity for an extended period
• Any other reason at our sole discretion

3.6 Effect of Termination: Upon termination:

• Your right to use the Platform will immediately cease
• We may delete your account and all associated Content
• You remain liable for all obligations incurred prior to termination
• Sections of these Terms that by their nature should survive will continue to apply

4.1 Acceptable Use: You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

5.1 Rpoint's Intellectual Property The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Rpoint, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 License to Use Platform Subject to these Terms, Rpoint grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal or internal business purposes.

5.3 Restrictions: You may not:

• Copy, modify, distribute, sell, or lease any part of the Platform
• Reverse engineer or attempt to extract the source code of the Platform
• Use the Platform to create a competing service
• Remove or alter any copyright, trademark, or other proprietary notices

5.4 Trademarks "Rpoint" and all related logos, product and service names, designs, and slogans are trademarks of Rpoint or its affiliates. You may not use such marks without our prior written permission.

5.5 User Content Ownership You retain ownership of any User Content you post on the Platform. However, by posting User Content, you grant Rpoint a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and promoting the Platform.

5.6 User Content Representations You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not infringe any third-party rights
• You have obtained all necessary permissions, releases, and consents

5.7 Content Monitoring and Removal We reserve the right (but have no obligation) to:

• Monitor, review, or edit User Content
• Remove or refuse to post any User Content for any reason
• Take action against users who violate these Terms
• Preserve User Content for legal or regulatory purposes

Users may create listings for properties, land, or services subject to the following:

• All listings must be accurate, truthful, and not misleading
• Listings must comply with all applicable laws and regulations
• You must have the legal right to list the property or service
• Prohibited listings include illegal properties, fraudulent schemes, or discriminatory offers

6.2 Listing Accuracy You are solely responsible for:

• The accuracy and completeness of your listings
• Updating listings to reflect current availability and pricing
• Removing listings that are no longer valid
• Any disputes arising from your listings

6.3 Rpoint's Role Rpoint acts as a platform facilitating connections between users. We:

• Do not own, sell, or purchase any properties or services listed
• Are not a party to any transactions between users
• Do not guarantee the accuracy of any listings
• Are not responsible for the quality, safety, or legality of listed items
• Do not verify user identities or credentials (though we may implement verification features)

6.4 Transactions All transactions, agreements, and arrangements made through the Platform are strictly between the relevant users. Rpoint is not a party to such transactions and bears no responsibility for:

• The performance or breach of agreements
• Disputes between users
• Quality of properties, services, or products
• Payment issues (except payments made directly to Rpoint)

6.5 Group-Buy Marketplace For building materials and group-buy features:

• We facilitate collective purchasing but do not guarantee pricing or availability
• Suppliers are independent third parties
• Users participate at their own risk
• We are not liable for supplier performance, product quality, or delivery issues
• All warranties and guarantees are provided by suppliers, not Rpoint

7.1 Networking Features The Platform provides features for professional networking, including:

• User profiles and directories
• Connection requests and messaging
• Groups and forums
• Content sharing and discussions

7.2 Communication Standards When using networking features, you agree to:

• Maintain professional and respectful communication
• Not spam or send unsolicited commercial messages
• Respect other users' privacy and preferences
• Not share confidential information without authorization

7.3 Endorsements and Recommendations If the Platform includes features for endorsements or recommendations:

• Such content represents individual opinions only
• Rpoint does not verify or endorse such content
• Users are responsible for the accuracy of their endorsements
• False or misleading endorsements violate these Terms

7.4 Third-Party Interactions You acknowledge that:

• You interact with other users at your own risk
• You should exercise caution and judgment when sharing information
• You are responsible for evaluating the credentials and suitability of other users

8.1 Data Provision Rpoint may provide access to maps (TP, DP, village maps) and revenue records through the Platform.

8.2 Data Accuracy

• We source data from government and third-party sources
• We do not guarantee the accuracy, completeness, or currency of such data
• Data is provided "as is" for informational purposes only
• You should verify all data through official sources before relying on it

8.3 Permitted Use Data and maps may be used only for:

• Personal research and due diligence
• Legitimate business purposes related to real estate
• Non-commercial use unless otherwise authorized

8.4 Prohibited Use You may not:

• Redistribute, resell, or commercially exploit the data
• Use data for any illegal purposes
• Claim ownership of or remove attributions from the data
• Use automated systems to extract large volumes of data without permission

9.1 CRM System The Platform may provide CRM (Customer Relationship Management) tools for managing clients, leads, and projects.

9.2 Your Data

• You retain ownership of all data you input into the CRM system
• You are responsible for backing up your data
• We are not liable for any data loss or corruption
• Upon termination, you may export your data subject to our policies

9.3 Digital Tools Calculators, converters, and other digital tools are provided for convenience:

• Results are estimates and should not be solely relied upon
• You should verify calculations independently
• We are not liable for any decisions made based on tool outputs

10.1 Subscription and Fees Certain features may require payment of subscription fees or other charges. By subscribing, you agree to:

12.2 No Guarantee of ResultsWe do not guarantee that:

• Data and tools will be accurate or reliable
• The Platform will meet your specific requirements

12.3 User Content Disclaimer

• We do not endorse or verify User Content
• We are not responsible for the accuracy, legality, or quality of User Content
• User Content does not reflect our views or opinions

12.4 Professional Services Disclaimer

• Rpoint does not provide legal, financial, tax, or professional advice
• Information on the Platform is for general informational purposes only
• You should consult with qualified professionals for specific advice

12.5 Jurisdiction Variations Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above exclusions may not apply to you.

13.1 Limitation of DamagesTO THE MAXIMUM EXTENT PERMITTED BY LAW, RPOINT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage
• Damages arising from your use or inability to use the Platform
• Damages arising from unauthorized access to your account or data
• Damages arising from any User Content or conduct of other users
• Damages arising from third-party services or content

13.2 Cap on Liability

IN NO EVENT SHALL RPOINT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE PLATFORM EXCEED THE AMOUNT YOU PAID TO RPOINT IN THE 12 MONTHS PRECEDING THE CLAIM, OR ₹1,000 (ONE THOUSAND RUPEES), WHICHEVER IS GREATER.

13.3 Basis of the Bargain You acknowledge that these limitations of liability are fundamental elements of the agreement between you and Rpoint, and that Rpoint would not provide the Platform without these limitations.

13.4 Jurisdiction Variations Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages. In such jurisdictions, the above limitations may not apply to you.

14.1 Your Indemnification Obligation You agree to indemnify, defend, and hold harmless Rpoint and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any law or regulation
• Your User Content
• Your violation of any rights of another party
• Your transactions or interactions with other users
• Any fraudulent, negligent, or wrongful conduct by you

14.2 Defense and Settlement Rpoint reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

15.1 Informal Resolution Before initiating any formal dispute resolution, you agree to first contact us at info@rpoint.in to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

15.2 Governing Law These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

15.3 Jurisdiction Subject to the arbitration provisions below, you agree that any legal action or proceeding relating to these Terms or the Platform shall be brought exclusively in the courts located in Surat, India, and you consent to the personal jurisdiction of such courts.

• War, terrorism, riots, or civil unrest
• Government actions, laws, or regulations
• Internet service provider failures or telecommunications outages
• Cyberattacks, hacking, or malware
• Pandemics or public health emergencies
• Labor disputes or strikes

19.1 Beta Features We may offer beta, pilot, or experimental features. Such features:

• Are provided "as is" without warranties
• May be modified or discontinued at any time
• May have limited support
• Should not be relied upon for critical functions

19.2 Mobile Application If you access the Platform via mobile application:

• You are responsible for data charges from your carrier
• You must comply with app store terms (Apple App Store, Google Play)
• We may automatically update the app; you should enable updates

20.3 Repeat Infringers We may terminate accounts of users who repeatedly infringe intellectual property rights.

21.1 Entire Agreement These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Rpoint regarding the Platform.

21.2 Severability If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21.3 Waiver Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Rpoint.

21.4 Assignment You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or any rights hereunder without restriction.

21.5 No Agency No agency, partnership, joint venture, or employment relationship is created between you and Rpoint as a result of these Terms or your use of the Platform.

21.9 Survival Provisions that by their nature should survive termination shall survive, including but not limited to: ownership, warranty disclaimers, indemnification, limitations of liability, and dispute resolution.

22.1 Voluntary Feedback Any feedback, comments, suggestions, or ideas you provide to us regarding the Platform ("Feedback") shall be:

• Non-confidential and non-proprietary
• Owned by Rpoint without any obligation to you

22.2 License to Use Feedback By providing Feedback, you grant Rpoint a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to compensate you.

23.1 Not a Real Estate Broker Rpoint is not a licensed real estate broker, agent, or salesperson. We do not:

• Represent buyers or sellers in transactions
• Provide real estate brokerage services
• Earn commissions from property transactions (unless explicitly stated)
• Guarantee the accuracy of property information

23.2 Due Diligence You are solely responsible for:

• Conducting your own due diligence on properties
• Verifying all property information independently
• Consulting with licensed professionals (lawyers, surveyors, engineers)
• Complying with all legal requirements for transactions
• Understanding and accepting all risks of real estate transactions

23.3 Legal Compliance Users involved in real estate transactions must comply with all applicable laws, including:

• Real Estate Regulatory Authority (RERA) regulations
• Transfer of Property Act
• Registration Act
• Tax laws and stamp duty requirements
• Local zoning and land use regulations

23.4 No Guarantee of Title or Ownership We do not verify or guarantee:

• Property titles or ownership
• Absence of encumbrances or liens
• Compliance with building codes or regulations
• Property boundaries or measurements

24.1 Prohibited Activities You may not use the Platform for:

• Money laundering or terrorist financing
• Fraudulent schemes or scams
• Violation of economic sanctions
• Any illegal financial activities

24.2 Cooperation with Authorities We reserve the right to:

• Report suspicious activities to relevant authorities
• Freeze accounts pending investigation
• Disclose information as required by law enforcement

24.3 Verification We may require identity verification or additional documentation for certain activities, and you agree to cooperate with such requests.
